These Vendor Terms and Conditions (“Terms”) govern your use of the paid business listing services (“Services”) provided by Wedly (“we”, “us”, “our”), a wedding directory platform operated in Ireland. These Terms apply to any business entity or individual (“you”, “your”, “Vendor”) purchasing a package or service from Wedly.

1. Scope of Agreement

These Terms apply specifically to Vendors (paying business users) and are supplemental to the General Terms of Use applicable to all site users. If there is a conflict between documents, these Vendor Terms take precedence for paid listings and services.

2. Eligibility and Vendor Obligations

To be eligible for a paid listing, you represent and warrant that:

  • You are a registered business or sole trader in good legal standing under Irish or EU law
  • You hold any necessary business licences and insurance for your services
  • You will maintain accurate and updated listing content
  • You will deliver services to customers as described in your listing
  • You will comply with all consumer, advertising, and fair trading laws
  • You agree not to use the Wedly in any way that:
    • is unlawful, illegal or unauthorised;
    • is defamatory of any other person;
    • is obscene or offensive;
    • infringes any copyright, database right or trademark of any other person; advocates, promotes or assists any unlawful act such as (by way of example only) copyright infringement or computer misuse.

3. Use of Vendor Content and Assets (Key Condition)

By registering for any paid service on Wedly, you expressly grant Wedly a royalty-free, irrevocable, worldwide license to:

Access and use any content, branding, or assets from your website and public social media accounts (including but not limited to Facebook, Instagram, Pinterest, TikTok, LinkedIn, YouTube)

Reuse, modify, adapt, and republish this content across any platform or channel, including our directory, email campaigns, social media, advertisements, partner sites, editorial features, or other promotional uses;

Display and distribute your name, logo, photos, videos, and business content in both organic and paid formats without prior notice or compensation.

This license is a core condition of using the Wedly platform as a Vendor.

To the extent permitted by law, you waive your moral rights (e.g. the right to be identified as author or to object to derogatory treatment) in your Vendor content.

This means, for example (without limitation), that we can:

  • Continue to publish all or part of your Vendor content, including your name, town and location, even if you change your mind and want us to remove it and/or you are no longer registered with the Site;
  • Remove your Vendor content, even if you have not breached these Terms & Conditions or our Terms of Use;
  • Use all or part of your Vendor content in promoting our products and services (e.g. we may use a screenshot including your comments in our advertising);
  • Edit your content, which may result in a part of it being modified and displayed, including without your name. Please note that we do not check, monitor, moderate or even see all the comments and other material submitted to us. While some comments may be pre-moderated (i.e. checked in advance by us before publication), some may not be.

4. Package Offerings

Wedly offers various paid listing packages, which may include:

  • Business listings with categories, contact forms, and galleries
  • Featured placement or homepage visibility
  • Priority search ranking
  • Reporting and traffic data
  • Advertising or promotional boosts

Details of each package are listed at time of purchase. Wedly reserves the right to update or revise packages with prior notice.

5. Limited Time Package Offer

For a limited period of time, you may be eligible for a Wedly-managed PPC advertising campaign via Google Ads at no additional setup cost.

6. Content Submission and Responsibilities

You are solely responsible for:

  • Providing complete, accurate, and lawful content for your listing
  • Ensuring all media (images, logos, descriptions, videos) are either owned by you or fully licensed
  • Updating your listing as needed to reflect service changes or promotions

You must not submit any material to our Site that:

(a)is:
(i) defamatory, malicious, threatening, false, misleading, offensive, abusive, discriminatory, harassing, blasphemous or racist,
(ii) indecent, obscene or of a sexual nature,
(iii) a breach of confidentiality or someone’s privacy;

(b) could prejudice any active legal proceedings of which you are aware;

(c) is likely to:
(i) cause someone alarm, anxiety or distress;
(ii) encourage violence or racial or religious hatred;

(d) infringes any intellectual property rights, such as copyright and trade marks. This means generally that you must own the rights in everything you submit or must obtain permission from the rights owner to submit the material;

(e) is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software, harmful data or conduct);

(f) advertises any product or services;

(g) impersonates anyone else or otherwise misrepresents your identity, affiliation or status;

(h) is in breach of these Terms, our Privacy Policy, and/or Terms of Use;

(i) is, encourages or teaches conduct that is a criminal offence, gives rise to civil liability, or is otherwise unlawful;

You must not try to get round any protections we put in place for the security and operation of the Site. You must not re-submit content which you are aware has been removed. Wedly may moderate, edit, or remove content that violates these standards or applicable law.

7. Intellectual Property

You retain ownership of any original content you submit. However, by submitting it to Wedly, you grant us a royalty-free, irrevocable license to:

  • Use, host, publish, share, edit, and distribute the content across our platform and marketing channels
  • Create derivative content (e.g., collages, highlights, ads)
  • Syndicate your content across affiliate platforms and social media
  • This includes content you submit directly and content sourced from your website or social channels, as outlined in Section 3.

8. Reviews and Ratings

You agree to:

  • Accept customer feedback and public reviews posted on Wedly
  • Not interfere with or manipulate reviews (e.g., posting fake reviews, incentivising positive ratings)
  • Challenge reviews only through our formal dispute process, which may require evidence
  • Accept that Wedly makes the final decision on whether a review is removed or retained

We are not liable or responsible for the third party content on this Site. Third party content includes, for example, comments posted by users and the content of advertisements, including advertisements included in promotions, competitions and our newsletter.

9. Data Tracking and Analytics

You consent to:

  • Wedly collecting and analysing data about how users interact with your listing (e.g., views, clicks, contact leads)
  • Use of cookies, session tracking, and third-party tools (e.g., Google Analytics, Microsoft Ads)
  • Aggregated reporting based on visitor behaviour, source, search terms, and referral traffic
  • Analytics are provided “as-is” and may vary due to browser settings, ad blockers, or user permissions.

10. Payments and Invoicing

All prices are listed in Euro (€) and include VAT where stated

Payment is due in full at time of purchase unless otherwise agreed

Invoices must be paid within stated timelines

Wedly may adjust package pricing with 30 days’ notice via email or dashboard

Non-payment may result in listing suspension or termination

11. Refund Policy

Refunds are not available except as required by law or in the case of a proven technical fault caused by us

Cancellation of a listing does not entitle the Vendor to a refund for unused time. All cancellations must be requested via email or account dashboard

12. Termination

Wedly may remove or suspend a Vendor listing without refund if:

  • You breach any term of this agreement
  • There are repeated or verified complaints from users
  • You are found to be using the platform dishonestly or unlawfully
  • Payment is overdue beyond 14 days after the due date

You may cancel your account at any time, but all content rights previously granted remain in effect post-termination.

Where we suspend, terminate or prevent your registration, you must not attempt to re-register or submit content (e.g. using someone else’s registration), without our permission. The period of any suspension depends on all the circumstances.

13. Limitation of Liability

Wedly does not guarantee any number of leads, enquiries, or sales

Services are provided on an “as is” and “as available” basis

We are not liable for indirect or consequential loss (e.g., lost income, reputation)

Total liability is limited to the amount paid by you for the 12 months prior to any claim

Except for liability for fraudulent misrepresentation, we are not liable for:
(a) any action you may take as a result of relying on any information provided on this Site or for any loss or damage suffered by you as a result of you taking this action;
(b) any dealings you have with third parties (e.g. other users, advertisers or promoters) that take place using or facilitated by the Site;
(c) any liability for losses which are not a foreseeable or likely consequence of (i) your use of the Site, or (ii) a breach of these Terms.

We are not responsible if you cannot access the Site properly or at all because of any event outside our control, for example (without limitation) the performance of your or our ISP, your browser or the Internet.

The Site relies in part on software to work. Software has bugs. Whilst we will monitor the Site and try to fix bugs, we cannot guarantee that the Site or any individual feature of the Site will be error free, available all the time and/or free from viruses.

However, nothing in these Terms will affect any liability we may have for death or personal injury arising from our negligence or any other liability which cannot be excluded or limited by law.

Making your use of the Site enjoyable means we need to fix bugs, install updates and do general diagnosis and maintenance of the Site. We will try to do scheduled maintenance during times when we anticipate that online use is lower than normal.

We also need to be able to do emergency maintenance and/or suspend access to the servers where, in our reasonable discretion, we see the need to do that. We will try to have the Site available again as soon as we think it is safe to do so.

14. Modifications to These Terms

Wedly may update these Vendor Terms at any time. If we do:

  • Changes will be posted on our website with an updated “Last Updated” date
  • For material changes, we will notify Vendors by email or dashboard alert
  • Continued use after changes constitutes acceptance
  • If any part or provision of these Terms is found to be unlawful or unenforceable, this shall not affect the validity of any other part or provision.

15. Governing Law

These Terms are governed by the laws of Ireland, and any disputes shall be resolved under the exclusive jurisdiction of the Irish courts.
